In a New Jersey corporation with twenty-five or fewer shareholders, a minority shareholder who has been frozen out of management, cut off from distributions, or denied the books may seek relief where those in control have acted fraudulently or illegally, mismanaged the corporation, or acted oppressively or unfairly toward the minority. N.J.S.A. 14A:12-7. The remedies are real: the court may appoint a custodian or a provisional director, order the oppressing parties or the corporation to buy the shares at fair value, award fees and expert costs, or dissolve the entity outright. Limited liability companies have their own dissolution and buyout provisions under the Revised Uniform Limited Liability Company Act. N.J.S.A. 42:2C-48. Restrictive covenants, trade secrets, and the protection of business value. Is a former employee, a competitor, or a former business partner stealing your clients, or using your relationships, your information, or your work product to take your business? A New Jersey court enforces a restrictive covenant only to the extent it is reasonable for protecting a legitimate interest of the employer, without undue hardship on the employee or injury to the public. Consumer Fraud Act claims and defense. The New Jersey Consumer Fraud Act is one of the strongest statutes of its kind in the country, and it is aimed at more than door-to-door sales. A plaintiff who proves an unlawful practice and an ascertainable loss caused by it recovers treble damages and reasonable attorney’s fees. N.J.S.A. 56:8-19. That arithmetic changes the settlement value of a case in both directions, which is why a business defending one should take it seriously from the first letter, and a consumer holding one should not settle it cheaply. When the dispute is about data. A departing employee copies the customer database. A vendor’s systems are breached and your customers’ information is exposed. An account is entered by someone who no longer had any business being in it. New Jersey supplies a civil remedy of its own: a person or enterprise damaged in business or property by the unauthorized access, alteration, destruction, or taking of computer data may sue in the Superior Court and recover compensatory and punitive damages, the costs of investigation and litigation, and a reasonable attorney’s fee. N.J.S.A. 2A:38A-3. The federal Computer Fraud and Abuse Act carries a civil action as well, 18 U.S.C. § 1030(g), though it is narrower than it once was — a person who is authorized to access a computer does not exceed that authorization merely by using it for an improper purpose. Van Buren v. United States, 593 U.S. 374 (2021).
After a breach. A business that suffers a breach of security must disclose it to affected New Jersey residents in the most expedient time possible and without unreasonable delay — and must report the breach to the Division of State Police in advance of notifying customers. N.J.S.A. 56:8-163. Consumer Fraud Act exposure follows close behind. The sequence matters, and so does who conducts the investigation: engage counsel early enough that the facts are developed under privilege rather than in an email thread that later becomes an exhibit.
Daniel’s Law and the removal of personal information. Judges, law enforcement officers, prosecutors, child protective investigators, and the family members living in their households may demand that their home address or unpublished home telephone number be taken down. A recipient who does not comply within ten business days faces liquidated damages of $1,000 for each violation, punitive damages on proof of willful or reckless disregard, fees, costs, and injunctive relief.
